Introduction

We are seeking a Legal Associate & Transaction Administrator to support renewable energy projects across their full lifecycle—from development and financing to construction and operations. This role is ideal for a highly organised legal professional who thrives in a dynamic, fast-paced environment.

Duties & Responsibilities

Legal Support:

Interpret and advise on legal agreements, including shareholder agreements, loan agreements, EPC & O&M contracts, and power purchase agreements.
Draft and review contracts such as land lease agreements, NDAs, and share purchase agreements.
Provide legal advice on corporate governance, compliance, and Companies Act obligations.
Draft resolutions and corporate documents.
Assist in claims management and responses to contractor claims.
Support senior management in implementing legal strategies for the business.

Transaction Administration:

Establish and maintain project data rooms and manage due diligence processes.
Track condition precedent (CP) fulfilment and assist with financial drawdowns.
Maintain document structures, track revisions, and manage contract schedules.
Support financial close processes and post-closing administration.
Assist in preparing tenders and compliance documents.

Operations & Asset Management:

Oversee administration of key project agreements (PPA, Shareholder Agreements, Finance Documents).
Implement reporting schedules and ensure timely submissions from technical, ESG, and finance teams.
Liaise with financiers, shareholders, investors, and contractors regarding project documents.
Prepare board packs, coordinate board meetings, and manage corporate governance requirements.
Participate in financial close and asset management meetings.
Support contract management, ensuring compliance with obligations and deliverables.

Desired Experience & Qualification

Admitted attorney with minimum 4 years of post-articles experience.
Background in commercial law and/or construction law (FIDIC experience preferred).
Experience in renewable energy or infrastructure projects is advantageous.
Candidates with both in-house legal and legal practice experience will be considered.
