ROLE AND LOCATION
We are looking for a Legal Counsel to join our incredible team. It's a full-time position in our Porto office.
Reporting to the Muehlhan Wind Service Legal department, the Legal Counsel will provide competent legal business support and guidance to the organization,withtheaimofmitigatingriskexposureandheighteninggenerallegalawareness,understanding and adherence.
JOB DESCRIPTION:
You will be the primary legal point-of-contact in relation to review of commercial contracts and tenders, as well as in drafting subcontracts, NDA’s and similar project-related contracts. It will be your responsibility to review and evaluate contractual and commercial risks of contracts in cooperation with stakeholders in Sales, Operations and other relevant departments of the organization. This includes helping the relevant departments with assessing which risks are acceptable and which are not, through a combination of steadfastness and pragmatism, dependent on the needs of the given situation. This also includes routinely doing post-process follow-ups and evaluations with Sales and Operations on processes, negotiations and contracts to continuously improve internal processes and prerequisites for future projects.
As the primary legal counterpart of the above processes, you will also ensure that intra-group compliance is adhered to, by notifying the involved stakeholders when certain decisions require prior approval.
Inextension,youwillalsobetheprimarydriverbehindreviewingandprovidinglegalsupportconcerningother business-operation-related contracts and supplier contracts.
Incaseofcommercialdisputesandcustomer/supplierclaims for Projects,youwillsupport to the necessary extent inassessingthe claims, preparing communication and arguments, and subsequently in negotiating the claim with counterparts, indirectly or directly, dependent on the concrete circumstances.
TASKS AND RESPONSIBILITIES:
1.Contract Review and Drafting
•Commercial Contract Review: Review and assist the Sales team in negotiating commercial contracts and associated tender documents.
•Sales Support: Assist the Sales team with creating set-ups and determining rates for tenders.
•Drafting Contracts: Draft subcontracts, NDAs, and other project-related agreements to ensure they meet legal and organizational standards.
2.Risk Evaluation
•Risk Assessment: Collaborate with stakeholders in Sales, Operations, and other relevant departments to review and evaluate the contractual and commercial risks associated with contracts.
•Risk Management: Assist departments in determining which risks are acceptable and which are not, using a balanced approach of steadfastness and pragmatism tailored to the specific situation.
3.Stakeholder Collaboration
•Interdepartmental Cooperation: Work closely with Sales, Operations, and other departments to ensure a thorough understanding of contractual obligations and risks.
•Continuous Improvement: Conduct post-process follow-ups and evaluations with Sales and Operations to review processes, negotiations, and contracts, aiming to enhance internal procedures and set better prerequisites for future projects.
4.Monitor Local Legislation
•Regularly review and analyze updates in local labor laws.
•Ensure compliance with new regulations and standards.
•Communicate changes and their implications to relevant departments
•Develop and implement policies to align with legislative changes.
•Liaise with legal advisors to interpret complex legal updates.
•Conduct training sessions or create content for staff on new labor law requirements
REQUIRED QUALIFICATIONS AND SKILLS:
·Legal Qualifications: (Master of Laws, cand.jur., cand.merc.jur. or equivalent).
·Legal Expertise: Strong knowledge of contract law and commercial regulations, with 3-5 years of experience in international commercial transactions and corporate law, either at a law firm or as in-house counsel.Experience drafting and reviewing legal documents and communicating complex legal issues to non-legal stakeholders in English.
·Analytical Skills: Ability to assess and mitigate risks effectively.
·Communication: Excellent verbal and written communication skills to liaise with various departments and stakeholders.
·Attention to Detail: High level of accuracy in reviewing and drafting contracts.
·Problem-Solving: Strong problem-solving skills to address and resolve contractual issues.Strong commercial mindset enabling you to balance legal requirements with the commercial drivers and goals of the company.
·Language: Fluency in English is required, as it is the corporate language.
