Contract Management – Implementation of executed RE Project contracts (EPC turnkey/Multi party split contracts/self-development model)
|
- Accurate interpretation of clauses, payments, efficient execution by mitigating the risk of commercial defaults under the contracts and safeguard Apraava as best possible on commercial risks identified during or prior to implementation.
- Establish systems to manage effective implementation of the signed off contracts to ensure achievement of project, by establishing systems and institutionalizing planning processes.
- Build checks and balances in payment claim formats, payment processing and guide subordinates accordingly.
- Manage the process for payments due and payable under the contracts by securing necessary approvals as per CMAM or any other company policy and adequately checking the completeness of conditions precedent for payment by site teams.
- Be in active and continual discussions with the project counterparties and internal teams on various project development issues and convince them on correct interpretation of intended commercial clauses.
- Resolve conflicts between internal and external teams by coordinating with them and advising on correct interpretation in consultation with Legal and Project teams, if so required.
- Constantly review the processes adopted and bridge the gap on loopholes identified to avoid any contractual default.
- Maintain or cause to maintain database of dates of key project activities like foundation casting, handover of critical parts of Projects, material receipt, dates of payments etc.
- Develop a mechanism for effective management of payouts and related adjustments/reconciliations through Letter of Credits where agreed as per contracts with proper checks and balances to avoid excess exposure.
- Recommend approach, deliberate solutions and negotiate with counterparty to reach for amicable closure of commercial issues such as settlement of carry costs, liquidated damages, output variations, etc. (with focus on its impact on returns) and avoiding contractual disputes.
- Review the executed Project contracts/Agreements from time to time and highlight on the impact in relation to commercial clauses due to change in market conditions, change in applicable laws and suggest mitigation measures in consultation with relevant teams.
- Monitor the commercial risks identified during the investment stage or identified later and keep the required teams updated on its status along with analysis of potential exposure.

Project Deviation Management –
Avoid delay in project implementation and drive deviation management
|
- Proactive and continual discussions with the project counterparties and internal teams on various project development issues and support them to arrive on correct interpretation of intended commercial clauses.
- Recommend approach, deliberate solutions and negotiate with counterparty to reach for amicable closure of contracts and commercial issues such as quality and supplies related issues, settlement of carry costs, liquidated damages, variations, etc. (with focus on its impact on returns) and avoiding contractual disputes and defaults.
- Drive deviation management checking for delays/deviations from agreed contractual terms, price increase requests, claims by evaluating reasons for deviation, assessing probable risks and strategizing for mitigation, taking corrective action in consultation with Management and maintaining required documentation.
- Coordination in resolving conflicts between internal and external teams and advising on constructive interpretation in consultation with BD and legal team, if so required.
- Obtain approvals from Senior Management as per CMAM for such delay/deviations (including additional budgetary approvals if required) .
- Support the legal team on appropriate documentation to record deviations.

- Business Development / Contract /Project Development–
- Work in a team with the BD team during contract negotiations on various matters based on implementation of contracts in the past.
- Facilitate group internal and statutory audits by providing necessary information; collate feedback and communicate the same to the team
- Collaborate with the (external/internal) Project and Legal teams to conceptualize terms and conditions for efficient contracting structures.
- Coordinate with internal and external stakeholders for finalizing terms in the existing (amendments) and new contracts (EPC and self-development)
- Evaluate and propose efficient contracting structures (from a commercial and value derivation perspective)
- Obtain requisite management approvals required for contract execution.
- Encourage innovation and out-of-the-box thinking in contracting such as new payment milestone structures etc.
- Construction Management: - Work together with RE Project, Construction and other team members on Project Contracts/agreements interpretation issues and variations sought by contractors… Participate in management construction review meetings, timely commissioning and adherence to approved project costs.
- Regulatory – Keep updates from regulatory team on policy changes having contractual/ commercial impact.
- Project Finance: - Review terms / covenants and advice changes based on past experience and project specific EPC/O&M agreements. Facilitate clarifying queries from legal, credit and risk team as part of the lenders’ due diligence exercise.
- Accounts –Work in synergy with accounting function based on the professional knowledge and experience… Jointly work on various direct and indirect tax related matters affecting wind farms (such as Tax issue, replying Tax notice etc.). Risk Management - Identify and rate various business risks as per Apraava Energy risk Management guidelines and policies

Build and maintain mutually beneficial relationships with all internal & external stakeholders within the limits of organizational guidelines and policies

- Interact and lobby with all key external stakeholders such as industry associations, advisors, subject matter experts, govt. ministries to help project Apraava Energy perspective and safeguard the company’s interests in India
- Develop existing relationships with EPC contractors, investment banks, policy makers to help source new opportunities for renewable portfolio growth
- Participate in seminars, conferences and other government organized functions.

Management of RE Projects Documentation –
In order to provide availability of relevant project documents to authorised personnel.
|
- Management of creation and maintenance of project related documentation.
- Develop user friendly system for filing (soft as well as hard copies) of documents related to particular project.
- Maintain record keeping of all important project documents on common folders/EDMS.
- Documenting process approvals required for payments/deviations etc for easy access.
- Monitor the safety of important project documents and secure them in safe locations.
- Support in compiling the relevant documents and Project details in a structure, as desired by the reporting Manager for compliance with applicable law or on request by a statutory body/Management directive.
- Facilitate group internal and statutory audits by providing necessary information; collate feedback and communicate the same to the team.

Support For Analyses Of New Project/s & Business Plan - to identify and capture past experience as well as business requirements right during inceptions stage of new business opportunities
|
- Provide support to the business development team during project origination regarding all matters related to commercial implications.
- Review of proposals from commercial and contracts management side.
- Assisting in data book preparation draws upon past experiences and knowledge.
- Provide relevant inputs/assumptions to investment analysts for finalisation of projects investment model based on market information, previous projects experience and review of previous projects.
- Provide inputs for annual business planning.
- Provide inputs for updating business cases of all projects during special projects such business valuation.

Act as backup for managing revenue lines for the renewables business to ensure optimum cashflows thereby consistently contributing to Apraava Energy top line
|
- Providing active support, as and when required for managing revenue lines for the renewables business to ensure optimum cashflows thereby consistently contributing to Apraava Energy's top line.
- For other revenue lines (GBI, VGF etc.), regularly liaise, meet and follow up with relevant authorities for introduction/amendments of schemes.
- Ensure timely receipt of payments with the objective of consistent optimum cash flows.

Mange and develop the team responsible for Contract management related tasks
|
- Maintain clarity of roles and responsibilities for team members and define goals/KRAs in line with company/department objectives
- Mentor and guide team members to handle ambiguous situations/ new challenges arising out of dynamic business scenario
- Capability Development – Identify skills required to meet business requirements and ensure regular training/education for team members in coordination with HR and HOD.
