Job Description – Contract Lead (Renewable Energy Projects)
Grade: AGM / DGM
Experience: 14–16 years
Location: Head Office (HO)
Reporting to: Head – Procurement & Contracts
Role Objective
The Contract Lead will be responsible for end-to-end contract management for Wind, Solar, and Hybrid renewable energy projects, ensuring robust risk mitigation, regulatory compliance, commercial optimization, and timely contract closure without impacting project execution schedules.
Key Responsibilities
1. Contract Drafting, Negotiation & Finalization
- Draft, review, negotiate, and finalize:
- MSAs, WTG Supply Agreements (WTGAs)
- Balance of System (Solar) / Balance of Plant (Wind) contracts
- O&M contracts for Wind / Solar / Hybrid projects
- Lead negotiations on critical clauses including:
- Liquidated Damages (LDs)
- Warranties and Performance Guarantees
- Defect Liability Period (DLP)
- Limitation of Liability (LoL)
- Termination and Force Majeure provisions
- Draft and finalize EPC / IPP-related agreements aligned with company contracting practices, project timelines, budgets, and risk profile.
2. Commercial, Legal & Regulatory Inputs
- Provide strategic inputs on:
- Commercial terms and pricing structures
- Legal and contractual compliance
- Taxation implications including GST, customs duties, and duties on imports
- Ensure adherence to regulatory requirements including:
- CERC regulations
- State Renewable Energy Policies
- Applicable MNRE guidelines
3. Stakeholder Management & Dispute Resolution
- Collaborate closely with internal stakeholders:
- Project teams
- Legal and compliance
- Finance and procurement
- Liaise with external legal counsel as required.
- Identify contractual risks early, resolve disputes, and optimize terms for cost efficiency and performance.
- Demonstrate strong conflict management and negotiation capabilities.
4. Regulatory & Industry Knowledge
- Stay current with:
- CERC and State Electricity Regulations
- IEC, CEA standards
- MNRE policies and renewable energy industry best practices
5. Contractual Risk Identification & Allocation
- Identify, assess, and allocate key project risks including:
- Project delays, ROW challenges, and land-related issues
- Force Majeure risks
- Module performance and degradation risks (Solar)
- WTG availability, foundation risks, and interface risks (Wind)
6. Speed vs Risk Balance
- Ensure timely contract closure without becoming a bottleneck to project execution.
- Balance commercial speed with adequate legal and risk protection.
7. Process Improvement & Standardization
- Manage, review, and continuously improve standard contract templates.
- Establish and promote best contracting practices across projects.
8. Knowledge Management
- Ensure learnings from past projects, claims, and disputes are systematically incorporated into future contract structures.
- Support continuous improvement in contracting strategy and governance.
