This Corporate Counsel position will be responsible for reviewing, drafting, and advising on a wide variety of general commercial contracts and legal matters generally. Candidates must have: (i) experience with drafting a broad variety of general commercial agreements ideally including international distribution and commercial contracts, (ii) the ability to manage and prioritize a busy workload with multiple client contacts, (iii) the desire to help the business solve complex problems, (iv) the confidence and ability to work independently, (v) experience with discovery and in litigation matters generally; and (vi) the proficiency to immediately assume the role of commercial transactions practitioner.
ESSENTIAL DUTIES & RESPONSIBILITIES
- Draft, review and help negotiate Company contracts and agreements. Help the Company avoid entering into contracts that are likely to be problematic regarding collections, project completion, damages, and or recovery of company expenses incurred in resolving such issues.
- Advise on contract status, legal risks, and the legal liabilities associated with different contracts, opportunities, deals, or other transactions.
- Research and anticipate unique legal issues that could impact the company and industry. Advise management of new and existing laws and regulations that would impact EMR’s business.
- Proactively collaborate with management team to devise efficient defense strategies.
- Manage and mitigate legal risks by designing and implementing company procedures and policies on industry-specific issues, corporate governance or regulatory affairs.
- Improve the organization, availability, and ongoing updates of all legal documents, records, and proceedings for the Company.
- Manage and facilitate filings of industry certifications, business licenses, operating permits, etc.
- Work with Company’s Accounts Receivable team on state-by-state collections processes that maximize invoice payment collections and minimize receivable write-offs and related expenses.
- Assist the Legal Department and the Company generally in litigation matters and insured claims.
- Law degree from accredited law school .
- Admission to New Jersey bar or in-house certification . May obtain in-house certification after joining Company.
- Three years of relevant legal experience at a law firm and/or in-house
- Experience drafting, preparing, reviewing, and negotiating complex agreements, particularly purchase, sales, B2B, supply, reseller, distributor, services, design and development, license, procurement, indemnification, vendor-managed inventory, warehouse, and confidentiality agreements.
Work is generally performed in a traditional office environment at our Camden, New Jersey corporate headquarters. Working hours may vary and evening or weekend work may be . You may to lift and carry light weights up to fifty pounds.
