The SOX Compliance Manager is responsible for overseeing the execution of all aspects of the Company’s SOX program. This includes scoping, planning, management, and monitoring the Company’s compliance with the requirements of SOX. Due to current and anticipated further investments in productivity, efficiency, and digitalization tools, this position will have an increased focus on addressing business issues and processes that impact both current and future IT systems that come into scope for ITGC control requirements. Additional responsibilities include providing guidance on SOX compliance matters to management, coordinating with internal and external auditors for their assessments of internal controls, monitoring the Company’s SOX controls documentation and testing, reviewing the evaluation of identified deficiencies and developing appropriate remediation plans. This position requires a thorough understanding of the rules and requirements identified in the Sarbanes-Oxley Act and promulgated under the PCAOB guidance on internal control assessment, as well as a comprehensive understanding of internal controls, COSO Framework, and the Company’s internal control environment.
Key areas of responsibility:
- Oversee the development and implementation of the annual plan (timeline, due dates, and milestones) to support the Company’s compliance with the Sarbanes-Oxley Act.
- Carry out the SOX IT risk assessment process to analyze, map, define and document key financial reporting risks, processes, and controls, in coordination with management and external auditors.
- Collaborate with leaders and business process owners across the Company to develop and maintain the Company’s internal control documentation, including process narratives and risk control matrices, in accordance with professional standards and regulatory requirements.
- Collaborate with IT on the assessment, design and implementation of ITGC requirements over current and future in scope systems.
- Provide guidance to operational/financial control owners to help implement standardized internal controls, documentation, and testing practices to ensure the Company’s compliance with SOX, including development of appropriate remediation activities.
- Coordinate and facilitate testing activities performed by Internal Audit on behalf of management to ensure that proper testing is completed in a timely manner to support management’s assessment of internal control over financial reporting; facilitate the external auditors’ efforts with regards to their audit of the Company’s internal controls.
- As applicable, manage the remediation of control deficiencies. Includes identifying root cause, identifying mitigating controls, evaluating the severity of findings, making recommendations for remediation, and coordinating with business process owners throughout the process of remediation.
- Assist with the design, implementation, and assessment of internal controls with respect to acquisitions and other growth projects, as applicable.
- Manage the performance of segregation of duties reviews for all IT users and business application users for current and future in scope systems.
- Assist in the evaluation, adoption, and implementation of tools to automate and streamline the Company’s compliance process.
- Perform special projects as assigned related to the Company’s internal control environment.
Pertinent knowledge, skills, and experience:
- Strong knowledge of U.S. GAAP, COSO, PCAOB Auditing Standards, SOX 404, risk and controls standards, and business process best practices.
- Self-motivated, proactive, quick learner with a desire to improve processes and increase efficiencies.
- Excellent interpersonal skills with the ability to effectively communicate, both orally and in writing, across a wide range of stakeholders.
- Ability to review, understand and document end-to-end processes (narratives/process maps), understanding each individual phase and transition, ensuring risks are properly defined and controls are properly implemented.
- Highly detail oriented with a critical degree of accuracy regarding analysis and documentation.
- Demonstrated ability to prioritize work and to perform multiple tasks simultaneously while adhering to deadlines.
- Strong computer skills, especially Microsoft Office Suite (Excel, Word, PowerPoint, and Outlook).
- Practical knowledge of Oracle ERP system is preferred.
Job Conditions
The SOX Compliance Team is currently working in the corporate headquarters (Portland, Oregon) two days per week and remotely three days per week, which is subject to change. Limited travel may be required.
Qualifications
- Bachelor’s Degree in Accounting, Finance, or related field or equivalent combination of work experience and education
- Minimum of five (5) years of experience in public accounting, internal audit, or similar functions
- Exposure to assessment and testing of an entity’s internal controls over financial reporting
- Previous experience working with a public company or for a Big 4 public accounting firm preferred
- CPA or CISA certification desired
