Introduction

Our client in the renewable energy sector is seeking an In-House Legal Advisor. This role is perfect for a highly organized individual who will work closely with the transaction, construction, and asset management teams. Key responsibilities include providing general legal advice, managing contract and document processes, and interpreting legal agreements such as commercial, financial, EPC, and O&M agreements. The role also involves supporting project development, transactions, financial closings, and operations of renewable energy plants.

Based in Johannesburg, the position requires occasional travel to Namibia, Botswana, and other jurisdictions.

Duties & Responsibilities

  • Interpreting and advising on existing transaction documents such as corporate documents, finance agreements with third party financiers, power purchase agreements, EPC and O&M Agreements.
  • Drafting claims and responses to claims from contractors.
  • Advising on corporate governance and companies act obligations.
  • Drafting resolutions.
  • Negotiating legal agreements such as options to purchase land, long term leases, share purchase agreements, non-disclosure agreements etc.
  • Working with senior management to implement strategy for the Company its electricity trader.

 

Transaction Administration:

  • Setting up and maintaining project data rooms.
  • Managing data rooms and due diligence processes.
  • Managing and assisting with condition precedent fulfilment.
  • Assisting with drawdowns.
  • Establish and maintain the document folder structure for draft contracts and schedules.
  • Track and compare changes and control contract and schedule revisions.
  • Finalise transaction folders and bibles and setting up post-closing administration.
  • Participation in financial close meetings.
  • Supporting business development team with tender compliance and presentations.

Operations Administration:

  • Administering PPA, Shareholders Agreement, and Finance Documents.
  • Preparing reporting timetable for each project company and ensuring all teams (technical, ESG, finance) are aware of their reporting requirements.
  • Drafting notices and other correspondence.
  • Liaising with financiers, shareholders, investors and contractors on project documents.
  • Establish and maintain the operations management folder structure relating to executed contracts.
  • Participation and chairing Asset Management and Financial Close Team meetings and updates.
  • Ensure contract deliverables are received by the client and/ or relevant stakeholders timeously.
  • Liaising with company secretary and or drafting certain documents if possible.
  • Preparing board packs and managing board meetings.
  • Review and prepare monthly reports.

Desired Experience & Qualification

  • Minimum 4-year post articles experience.
  • Experience working in fields such as general commercial, and/or construction (FIDIC) an advantage.
  • Position is available for both candidates with inhouse legal experience and candidates that are currently practicing law.
