Job Title: Senior Counsel

About the role: Lightstar Renewables (an affiliate of Eagle Creek Renewable Energy) is a Boston based independent power producer (IPP) with a visionary approach to the development, construction, and ownership of community solar energy systems. Lightstar Renewables (LSR) has an immediate opening for a seasoned, commercially-minded and entrepreneurial attorney and leader to support the ongoing development of a solar generating portfolio focused on community solar.
What you'll do:Legal Strategy and Compliance:
- Develop and implement legal strategies to ensure compliance with federal, state, and local regulations governing solar energy projects.
- Monitor and stay informed on industry-specific legal and regulatory developments.
- Collaborate with project development, operations, maintenance, and asset management teams to provide legal counsel and advice in the normal course of business, ensuring alignment with company goals.
Contract Negotiation and Drafting:
- Review, draft, and negotiate various agreements, including MIPAs and other project asset acquisition agreements, project joint ventures, debt and tax equity transactions, land leases, PILOT agreements, EPC contracts, equipment procurement and other agreements for project operations, maintenance (O&M) and asset management.
- Prepare general commercial contracts for professional and consulting services, master services, third-party engagements, and non-disclosure agreements.
- Work closely with relevant team members to ensure that all contractual obligations are met and understood.
- Oversee the legal aspects of real estate transactions, including due diligence, lease option, leasing or land acquisition agreements, easements, access and title issues.
External Counsel and Litigation Management:
- Coordinate with external legal counsel on disputes or legal proceedings involving the company
- Manage external counsel engagements, budgeting and spend, .
Corporate Governance:
- Provide legal support for corporate governance and authority matters, including board meetings and resolutions, entity management and filings.
What skills and experience you'll need:- An active license to practice law in at least one U.S. state.
- Minimum of 8 years of experience in energy project finance, contract negotiations and legal issues related to solar project or renewable energy project development, finance, construction and operations.
- A solid understanding of energy and corporate regulatory compliance and enforcement.
- Excellent research, analysis, and writing skills.
- Ability to communicate complex legal concepts to non-legal stakeholders effectively.
- Strong attention to detail and organizational skills.
- Ability to work independently and collaboratively with other team members in a remote environment.
