As an Attorney, your key responsibility will be to analyse potential mergers and acquisition deals, with focus on issues of regulatory and fund governing document compliance and deal structure. You’ll also be required to carefully evaluate, articulate and mitigate the risks associated with deals to senior investment team members.
On a day-to-day basis, you’ll be:
- reviewing, drafting and negotiating a range of agreements, including primarily transaction agreements related to mergers and acquisitions (e.g., letters of intent, asset purchase agreements, stock purchase agreements, consortium shareholder arrangements, joint ventures etc.), and also intercompany contracts, and other commercial, tax and financial matters
- planning and assisting in due diligence, actively managing deal processes and execution; and managing outside counsel
- working collaboratively with internal clients to identify issues, develop creative solutions, engage in due diligence, structure, negotiate , document and close acquisitions and divestitures with a view to facilitating smooth operational transition to/from a fund company
- working with external counsel to achieve transaction related regulatory consents
- providing legal advice and support on commercial contracts
- providing legal counsel for special projects, including joint ventures, equity investments, refinancing, earn-outs, milestone arrangements and post-closing acquisition matters
- working with internal business partners on proactive education and planning
To be successful in this role, you’ll need to bring a distinguished professional record and a strong business/commercial orientation. In addition, you will approach this role from an experienced business perspective and demonstrate a high degree of business savvy, strategic thinking , communication and collaboration skills.
Specifically, you will have:
- 6+ years of complex and hands on mergers and acquisitions experience, including due diligence management, deal team leadership, and agreement negotiation and drafting
- strong background in contract drafting and negotiation experience with a focus on commercial contracts
- ability to work on a wide range of mission-critical projects with minimal supervision
- ability to provide counsel, say no when warranted in a respectful and authoritative manner and suggest workable alternatives to meet the desired goals
- ability to identify, explain and balance business and legal risks
- ability to engender trust; patience and good client counseling/organizational and coaching skills
- bilingual in English and Spanish.
- ability to spend at least two weeks per month at our office in Mexico City
- project finance and/or infrastructure development experience (desired)
- experience with private equity fund transactions and fund structures (desired).
