Job Description Position Overview Based in Chicago, as Tax Counsel, you will work in our expanding tax planning team and play a key role in achieving Company and investor tax objectives. Join a dynamic, growing company and experience a broad range of challenging tax issues at a leading renewable energy developer. The Tax Counsel will be responsible for supporting the delivery of high-value, comprehensive, accurate, and timely tax advice to various business units, including cross-functional finance teams and Government Affairs. Responsibilities will include a mix of U.S. federal income tax projects related to renewable energy tax credits, partnership tax questions, and M&A transactions. This position will report directly to the Sr. Director, Tax. Responsibilities Work closely with cross-functional finance teams to evaluate and analyze tax impacts of acquisitions, dispositions, joint ventures, tax equity financing and debt financing of solar, wind, transmission, and energy storage projects in the U.S. Review business transactions (including M&A) to identify tax implications and provide well-thought-out recommendations Analyze and provide comments to tax provisions of transaction documents Stay current with changes in the tax law, support the development guidance, and advise internal customers regarding potential impacts Draft internal tax guidance, including memoranda of law and summary materials for other business units Other responsibilities as assigned Required Skills Juris Doctor Good standing with a state bar or current plan to be admitted to a state bar 0-4 years of experience at a nationally recognized law or accounting firm Preferred Skills LL.M. in Taxation Experience with the energy, power, or infrastructure industries Experience with project finance transactions Transactional tax and tax planning experience, including knowledge of partnership rules and experience documenting and negotiating tax provisions of transaction documents Benefits Eligible for medical, dental, vision, 401(k), bonus, paid time off, etc. Invenergy LLC is an equal opportunity employer.
