About The Role
We are seeking a skilled Engineering, Procurement, and Construction (EPC) Corporate Counsel to join our legal team. The Corporate Counsel will provide legal guidance and support on all matters related to EPC contracts, Power Purchase Agreements (PPAs), project development, procurement, construction, and ongoing legal compliance. The role will involve drafting, reviewing, and negotiating complex contracts, ensuring compliance with industry regulations, and mitigating legal risks for the company’s commercial solar projects. The Corporate Counsel will work closely with the legal, procurement, and project management teams to facilitate smooth execution of multiple projects. This role requires a deep understanding of complex commercial transactions, risk management, and regulatory issues.
Responsibilities
- Draft, review, and negotiate EPC and related agreements with vendors, contractors, and subcontractors. Ensure contracts align with company goals, risk tolerance, and legal standards.
- Draft alternate language and modify template contracts.
- Provide legal advice and support for the development, construction, and commissioning of solar energy projects, ensuring compliance with all regulatory requirements and industry standards.
- Identify and mitigate legal risks associated with EPC and related projects, including potential disputes, delays, cost overruns, and performance issues. Provide recommendations on contractual safeguards and remedies.
- Ensure adherence to local, state, and federal regulations regarding construction, procurement, environmental issues, and energy laws.
- Manage and advise on any disputes arising out of EPC and related contracts. Collaborate with outside counsel when necessary and assist in litigation or arbitration efforts.
- Work closely with internal teams (Operations, Engineering, Procurement, Project Management, and Finance) to align legal strategies with project timelines, budgets, and overall objectives.
- Manage and advise on contractual relationships with EPC and related vendors, subcontractors, and suppliers to ensure compliance with terms and conditions.
- Conduct legal due diligence for acquisitions, financing, and new project developments related to EPC and related activities.
Qualifications
- Juris Doctor (JD) from an accredited law school; active state bar membership in good standing in any U.S. state.
- 5+ years of experience in a law firm, EPC, or corporate legal department focused on commercial contracts, construction law, project development, or similar areas within the energy or construction sector.
- Proven experience with contract negotiation, project finance, risk management, and dispute resolution.
- Excellent communication, negotiation, and drafting skills, with the ability to explain complex legal matters to non-legal stakeholders.
- Ability to manage multiple projects simultaneously and work effectively with cross-functional teams.
- Strong analytical skills and attention to detail, with a proactive and strategic approach to problem-solving.
- Knowledge of commercial solar energy projects and legal matters related to construction, procurement, and engineering preferred.
- Understanding of energy regulations, permitting processes, and environmental laws at both state and federal levels preferred.
